1. Contracting parties / validity

1.2 These General Terms and Conditions (GTC) apply to all contracts concluded between consumers and us via our online shop.

1.3 Our offers in the online shop are directed exclusively at consumers as defined in § 13 of the German Civil Code (BGB).

2. Offers, orders and conclusion of contract

2.1 The presentation of products in the online shop does not constitute a legally binding offer but a non-binding invitation to place an order. Product descriptions in catalogs and on the seller’s websites are for information purposes only and do not constitute a guarantee.

2.2 The purchase contract is concluded by our explicit declaration of acceptance or by shipment of the goods.

2.3 Orders can only be placed by persons of legal age.

2.4 Consumers can select products from our range without obligation and collect them in a so-called shopping cart using a button. Within the shopping cart, users can proceed to checkout via the “Checkout” button.

2.5 By clicking the “Order with obligation to pay” button, users submit a binding purchase request for the items in the cart. Before submitting the order, users can review and modify their data at any time.

2.6 The seller will then send the customer an automatic confirmation of receipt by email, which lists the customer’s order. This confirmation merely documents that the order has been received and does not constitute acceptance of the request. The purchase contract is only concluded when the seller ships the ordered product or explicitly confirms the order or sends the invoice.

2.7 If the seller allows advance payment, the contract is concluded when the seller provides the bank details and requests payment. If the payment is not received within 15 calendar days after the order confirmation, even after a reminder, the seller will withdraw from the contract, resulting in the order being cancelled and no delivery obligation arising. No claim to reservation of the item exists in the case of advance payment.

2.8 The text of the contract is not stored by us. You can print or save the order data immediately after submitting the order. Additionally, you will receive an order confirmation by email.

3. Prices and Shipping Costs

3.1 All prices are in Euros and include the statutory VAT.

3.2 Shipping costs are displayed during the ordering process. We currently deliver within Germany and Austria.

4. Payment

4.1 Consumers can choose from the available payment methods during the ordering process.

4.2 If third-party providers (e.g. PayPal or Klarna) are used for payment processing, their general terms and conditions apply.

4.3 If payment in advance via bank transfer is selected, delivery will take place after receipt of payment.

5. Delivery

5.1 Delivery is made to the address specified during the ordering process within Germany and the EU.

5.2 Please note the availability and delivery times stated on the product pages.

5.3 Delivery within Germany is made to the specified address using a parcel service or freight carrier of our choice. Deliveries to other countries may take longer. In the event of delivery delays, we will inform you promptly.

5.4 If not all ordered items are in stock, partial deliveries may be made. This will not result in additional costs for the customer.

5.5 If the ordered product is not available because we are not supplied with this product by our supplier without any fault on our part, we may withdraw from the contract. In this case, we will inform the customer immediately and, if applicable, suggest the delivery of a comparable product. If no comparable product is available or the customer does not wish to receive one, we will refund any payments already made without delay.

5.6 If delivery is not possible for reasons within your control, you shall bear the costs for the failed delivery attempt.

6. Retention of Title

6.1 The goods remain the property of the seller until full payment has been received.

7. Right of Withdrawal

7.1 Consumers have a statutory right of withdrawal of 14 days.

7.2 The withdrawal period begins upon receipt of the goods.

7.3 Withdrawal must be declared by email or by post.

7.4 The buyer bears the cost of return shipping.

7.5 The right of withdrawal does not apply to personalized or sealed goods that are not suitable for return for hygiene reasons.

7.6 Withdrawal Instructions

You have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period is 14 days from the day on which you, or a third party named by you who is not the carrier, have taken possession of the goods or, in the case of a contract for multiple goods, the last good or the last partial delivery.

To exercise your right of withdrawal, you must inform us at:

uuio GmbH Langenfelder Straße 93 22769 Hamburg Germany via a clear statement (e.g. by email to hello@yoonitbikes.com) of your decision to withdraw from this contract. It is sufficient to send the notification before the withdrawal period expires.

Consequences of Withdrawal:

If you withdraw from this contract, we will refund all payments received from you, including delivery costs, without delay and at the latest within 14 days from the day we receive notice of your withdrawal. For this refund, we will use the same payment method you used for the original transaction unless expressly agreed otherwise with you; in no case will you be charged fees for this refund. We may withhold the refund until we have received the goods back or you have provided proof that you have returned the goods, whichever is earlier.

without undue delay and in any case no later than 14 days from the day you notify us of your withdrawal. The deadline is met if you send the goods before the 14-day period expires.

You bear the direct costs of returning the goods.

You are only liable for any diminished value of the goods resulting from handling other than what is necessary to establish the nature, characteristics and functioning of the goods.

8. Warranty and Liability

8.1 The statutory warranty rights apply.

8.2 Claims for damages are excluded, except for claims by the customer arising from injury to life, body, health or from the breach of essential contractual obligations (cardinal obligations), and for liability for other damages resulting from intentional or grossly negligent breach of duty.

9. Data Protection

9.1 Our privacy policy, available on our website, applies.

9.2 Customer data is used exclusively for contract processing.

10. Online Dispute Resolution

10.1 The EU Commission provides a platform for online dispute resolution: https://ec.europa.eu/consumers/odr.

10.2 We are not obligated to participate in dispute resolution proceedings before a consumer arbitration board.

11. Final Provisions

11.1 German law applies to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG).

11.2 The place of jurisdiction for disputes is Hamburg, to the extent permitted by law.

12. Severability Clause

If individual provisions of this contract are or become invalid, the validity of the remaining provisions shall remain unaffected. In place of the invalid provision, the statutory regulations shall apply.
